2. Eligibility and Registration

• Age Requirement

  The HaaNaa Platform is open only to individuals who are at least 18 years old. Persons under 18 are strictly prohibited from using the HaaNaa Platform.

• Geographical Restrictions

  Currently, the HaaNaa Platform is available only to residents of India. Users must ensure they comply with all local, state, and national laws and regulations.

• Account Creation
  • To access certain features of the HaaNaa Platform, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
  • You are responsible for safeguarding your account credentials and for any activities or actions under your account. You agree to notify HaaNaa immediately of any unauthorized use of your account.
  • HaaNaa reserves the right to refuse registration of, or cancel, accounts that we deem inappropriate.

3. HaaNaa Services

• Description of Services

  HaaNaa provides a platform for users to participate in prediction markets, engage in fantasy sports contests, and access related information and analytics.

• User Content
  • Users may have the ability to submit, post, or display content on the HaaNaa Platform (“User Content”). You retain ownership of your User Content.
  • By submitting User Content, you grant HaaNaa a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in connection with the HaaNaa Services.
• Modifications to Services

  HaaNaa reserves the right to modify, suspend, or discontinue any part of the HaaNaa Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the HaaNaa Services.

4. User Conduct and Prohibited Activities

• Compliance with Laws and Regulations

  Users agree to comply with all applicable laws, regulations, and third-party rights (including without limitation laws regarding the import or export of data or software, privacy, and local laws) while using the HaaNaa Platform.

• Prohibited Activities

  Users agree not to engage in any of the following prohibited activities:

  • Violating any applicable laws, regulations, or these Terms and Conditions.
  • Infringing upon the intellectual property rights of others.
  • Submitting false, misleading, or inappropriate content.
  • Attempting to gain unauthorized access to the HaaNaa Platform or other users' accounts.
  • Using the HaaNaa Platform for any illegal or unauthorized purpose.
  • Interfering with or disrupting the integrity or performance of the HaaNaa Services.
  • Attempting to deceive or defraud HaaNaa or other users.
  • Engaging in any activity that could damage, disable, overburden, or impair the functioning of the HaaNaa Platform.
• Consequences of Violation

  HaaNaa reserves the right to investigate and take appropriate legal action against anyone who, in HaaNaa's sole discretion, violates this provision, including without limitation, removing the offending content from the HaaNaa Platform, suspending or terminating the account of such violators, and reporting them to law enforcement authorities.

5. Intellectual Property Rights

• HaaNaa's Intellectual Property

  The HaaNaa Platform contains material, such as software, text, graphics, images, and other material provided by or on behalf of HaaNaa (collectively referred to as the “HaaNaa Content”). The HaaNaa Content is protected by copyright, trademark, patent, trade secret, and other laws. HaaNaa owns and retains all rights in the HaaNaa Content and the HaaNaa Services.

• Limited License to Users

  HaaNaa grants you a limited, revocable, non-transferable, and non-exclusive license to use the HaaNaa Content solely for your personal, non-commercial purposes in connection with the HaaNaa Services.

• Restrictions

  Users may not:

  • Copy, modify, or create derivative works based on the HaaNaa Content
  • Distribute, publicly display, publicly perform, or otherwise make available the HaaNaa Content
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the HaaNaa Services or any part thereof
  • Use any robot, spider, site search/retrieval application, or other automated device, process or means to access, retrieve, scrape, or index any portion of the HaaNaa Services

6. Privacy and Data Protection

  • Your privacy is important to us. Our Privacy Policy, which is incorporated into these Terms and Conditions by reference, explains how we collect, use, and disclose information about you.
• Data Security
  • While we strive to use commercially acceptable means to protect your personal information, we cannot guarantee its absolute security. By using the HaaNaa Platform, you acknowledge and accept this risk.

7. Payment Terms

• Fees and Payments
  • HaaNaa may charge fees for certain services or features within the HaaNaa Platform. All fees are non-refundable unless otherwise specified.
  • You agree to pay all applicable fees and taxes associated with your use of the HaaNaa Services.
• Payment Processing
  • HaaNaa uses third-party payment processors to facilitate payments. By using these payment services, you agree to comply with their terms and conditions.
  • You represent and warrant that you have the legal right to use any payment method(s) you provide in connection with your HaaNaa account.
• Account Balance and Withdrawals
  • HaaNaa maintains different types of account balances for users, including but not limited to Deposits Account, Winnings Account, and Bonus Account.
  • Withdrawal of funds from your HaaNaa account is subject to certain conditions and limitations, which may be modified from time to time at HaaNaa's discretion.

8. Limitation of Liability

• Disclaimer of Warranties

  THE HAANAA SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. HAANAA EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

• Limitation of Liability

  TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HAANAA, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE HAANAA SERVICES.

9. Indemnification

• You agree to indemnify, defend, and hold harmless HaaNaa, its affiliates, officers, directors, employees, consultants, agents, and representatives from any and all third party claims, losses, liability, damages, and/or costs (including reasonable attorney fees and costs) arising from your access to or use of the HaaNaa Services, your violation of these Terms and Conditions, or your infringement of any intellectual property or other right of any person or entity.

10. Termination

• Termination by HaaNaa

  HaaNaa reserves the right to terminate or suspend your account and bar access to the HaaNaa Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms and Conditions.

• Termination by User

  You may terminate your account at any time by contacting us at contact@haanaa.com. Upon termination, your right to use the HaaNaa Services will immediately cease.

• Effects of Termination

  All provisions of these Terms and Conditions which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law and Dispute Resolution

• Governing Law

  These Terms and Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

• Dispute Resolution

  Any dispute arising out of or in connection with these Terms and Conditions, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat of the arbitration shall be [your city]. The language of the arbitration shall be English.

12. Miscellaneous

• Entire Agreement

  These Terms and Conditions constitute the entire agreement between you and HaaNaa concerning the HaaNaa Services and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and HaaNaa.

• Severability

  If any provision of these Terms and Conditions is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms and Conditions will otherwise remain in full force and effect and enforceable.

• Force Majeure

  HaaNaa shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond HaaNaa's reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation.

• Assignment

  These Terms and Conditions are personal to you and are not assignable, transferable, or sublicensable by you except with HaaNaa's prior written consent. HaaNaa may assign, transfer, or delegate any of its rights and obligations hereunder without consent.
